Senior Lawyer / Legal Manager - Healthcare

Description



* Providing legal and integrity advice and counsel to the relevant departments and overseeing all disputes and litigation matters on all key business issues and projects;

* Creating a best-in-class legal function that is positioned to provide advice and guidance on contracts and a compliance framework;

* Directing the team to drafting, reviewing and negotiating various types of agreements and contracts ensuring consistency in legal services including purchasing, investment, agency, distribution, leasing and construction's contracts/agreements;

* Reviewing and proposing legal initiatives to best optimize company operations and position in the market;

* Directly working with the law firms/third parties and settling complaints, denunciations or directly participating in the resolution of procedural proceedings at courts to protect the legitimate rights and interests of the company;

* Updating and disseminating documents, policies, and regimes of the State related to business activities of the company;

* Participating in the legal appraisal for M&A projects and new company establishment;

* Conducting proactive trainings to departments on both new and existing regulations;

* Providing legal opinions on contractual matters and instructing external counsel where necessary;

* Assisting in equity funding raisings and due diligence transactions;

* Preparing legal paperwork for incorporation certificates, operation certificates, advertising, promotion registration, etc.;

* Preparing contract templates with key terms and conditions for relevant departments to have further discussion or negotiation with suppliers;

* Providing legal advice and negotiation with related business units in compliance with the regulations and professional procedures of the company and current law;





Profile



* Higher degree in Law with outstanding result from Top Law Universities;

* 7+ years of experience in a Law firm or combined experience with in-house, Law firm, and compliance;

* Proven experience in Vietnamese law;

* Excellent communication in both Vietnamese and English;

* A collaborative, solutions-oriented approach, team player;

* Ability to analyze complex issues, make sound judgements and propose different solutions;
