[Hanoi] Manager, Legal & Secretariat (Real Estate)

We are seeking an experienced legal in-house to provide legal advice in M&A transaction, operation, corporate matters and licensing work in relation to residential and commercial projects.
Key areas of the Responsibilities:
1. M&A
- Conducting preliminary legal due diligence for any potential M&A deals, identify risks, and propose mitigation strategies and solutions
- Preparing, reviewing MOUs, Term Sheets, Head of Terms for M&A deals before signing with the vendor, joint venture agreement with investor
- Advising investment and divestment structures, capital contribution, dividend payment and all other legal matters relating to corporate governance
- Coordinating and working with the external lawyers throughout the transactions to ensure all transaction documents will be drafted in line with the applicable laws and protecting the best for the Company's interests
2. Legal support for Operation
- Drafting, reviewing sale documentation including deposit agreement, sale and purchase agreement, lease agreement, tenant engagement.
- Reviewing financing documents, including facility agreement, mortgage agreement, escrow agreement, tri-partite agreement, bank guarantees and all other legal matters relating to corporate finance
- To provide legal advice and compliance matters to various departments in relation to the daily operation of project companies and the relevant projects
- To support in drafting and reviewing the legal letters and documents when required
- To support relevant departments with the regular and ad-hoc inspections
3. Corporate Matter & Licensing
- Propose appropriate consultants to engage and monitor, coordinate with those consultants for licensing procedures and project approvals.
- To draft and review application dossiers to update the incorporation documents for the project companies, such as ERC, IRC, registration of SPA templates.
- Advise the regulation of law on personal data protection
- Preparing resolution, meeting minutes of the companies, including onshore and offshore entities
