Purpose of this position
The Head of Legal of Vietnam would be directly report to the Legal Advisor (BKK) and the Country Director (Vietnam). The Head of Legal is ultimately responsible for all legal affairs in Vietnam and will also support the Legal Advisor (BKK) and the Country Director (Vietnam) with regional/global projects, initiatives or other requests, as instructed, from time to time.
Responsible to provide legal advice and provide update on laws and regulations related to the Company's
business development and operations (ERC, Permits, Licenses, EIA, etc.) and to coordinate with relevant parties to operate in accordance with the law of Vietnam.
Act as a Legal Advisor for B.Grimm Power Vietnam and subsidiaries and coordinate with external advisors for procurement of legal service to ensure overall legal documents of company in compliance with law and regulations.
Duties and Responsibilities
1. Legal Advisory & Risk Management
• Serve as the principal legal advisor to the Country Director and management team on all legal and regulatory matters in Vietnam.
• Provide strategic legal advice to support the development, construction, operation, acquisition, divestment, and financing of renewable energy projects.
• Identify, assess, and mitigate legal risks associated with the Company's business activities and investments.
• Establish and maintain legal risk management frameworks, policies, and procedures to ensure compliance with applicable laws and corporate governance requirements.
2. Contract Management
• Draft, review, negotiate, and manage contracts and legal documents related to the Company's business development, project development, construction, operation, procurement, and corporate activities.
• Provide legal support for key commercial agreements, including but not limited to: Power Purchase Agreements (PPA), Engineering, Procurement and Construction (EPC) Contracts, Operation &
Maintenance (O&M) Agreements, Land Lease Agreements, Share Purchase Agreements (SPA),Joint Development Agreements (JDA), Non-Disclosure Agreements (NDA),Service Agreements and Vendor Contracts
• Ensure contractual terms adequately protect the Company's legal and commercial interests.
3. Corporate & Regulatory Compliance
• Oversee all corporate legal matters, including company establishment, amendment of business registration, corporate governance, and statutory filings.
• Ensure compliance with Vietnamese laws, regulations, permits, licenses, and industry-specific requirements applicable to renewable energy projects.
• Advise management on legal compliance obligations relating to: Investment Law, Enterprise Law, Electricity Law, Environmental regulations, Land regulations, Labor Law, Tax regulations, Competition and anti-corruption laws,...
• Develop and implement compliance programs and internal controls.
4. Permits, Licenses & Project Development Support
• Provide legal support and regulatory guidance for obtaining, maintaining, renewing, and transferring permits, licenses, approvals, and regulatory consents required for renewable energy projects.
• Review legal requirements relating to project development milestones and regulatory approvals.
• Coordinate with government authorities, external counsel, and project teams on regulatory matters.
5. Project Finance, M&A and Investment Transactions
• Lead legal due diligence for mergers and acquisitions, project acquisitions, joint ventures, investments, and financing transactions.
• Review transaction documents and coordinate with external legal advisors, lenders, investors, and business teams.
• Support project financing activities and ensure compliance with financing documentation and lender requirements.
6. Legal Research & Regulatory Monitoring
• Monitor, analyze, and interpret changes in Vietnamese laws, regulations, and regulatory developments affecting the renewable energy sector.
• Regularly provide legal updates and impact assessments to management and relevant departments.
• Recommend appropriate actions to address regulatory changes and compliance risks.
7. Dispute Resolution & Litigation Management
• Manage legal disputes, claims, litigation, arbitration, administrative proceedings, and regulatory investigations involving the Company.
• Coordinate with external law firms and legal consultants where required.
• Develop dispute prevention strategies and negotiate settlements when appropriate.
8. Stakeholder & Government Relations Support
• Provide legal support for engagement with government agencies, regulators, local authorities, communities, business partners, and industry associations.
• Support community relations and stakeholder engagement activities from a legal and compliance perspective.
• Represent the Company in legal discussions with external stakeholders when authorized.
9. Internal Legal Support & Training
• Provide legal interpretation and practical guidance to management and employees across all departments.
• Develop and conduct legal awareness and compliance training programs for employees.
• Create and maintain legal templates, policies, and standard operating procedures.
10. Team Leadership & External Counsel Management
• Lead and manage the Legal Department to ensure effective and timely legal services.
• Supervise legal staff and oversee the work of external legal consultants and law firms.
• Manage legal budgets and monitor the performance of external legal service providers.
11. Other Responsibilities
• Perform other legal and compliance-related duties as assigned by the Country Director (Vietnam) or the Board of Directors.
• Support regional and Group legal initiatives and projects as required.
