LEGAL & COMPLIANCE COUNSEL

Location: Ho Chi Minh City (Opportunities for business trips across Southeast Asia and international markets).
Field: AI-native SaaS technology, Digital Advertising & Cross-border Operations (CLUEGA & Mosaic).
1. About Us
CLUEGA is an advanced AI-native marketing SaaS and ad execution platform serving clients and partners across Southeast Asia, Greater China, Europe, and North America. This position also supports the advertising business of Mosaic (an affiliated enterprise specializing in middle-office services such as account opening and international ad operations, e.g., short dramas). Here, the legal team operates at a fast tempo, partnering closely with business units to drive deals efficiently rather than acting merely as a passive risk-control gatekeeper.
2. Key Responsibilities
SaaS & Partner Contract Management (CLUEGA):
Draft, review, and negotiate SaaS agreements (MSA, Order Form, SLA, DPA) and build standard contract templates/negotiation playbooks.
Handle agency, distribution, media cooperation, NDAs, and sub-processor agreements.
Advertising & External Relations Contract Management (Mosaic):
Control clauses regarding scope of work, fee structures, prepayments, credit risks, account suspension and refund policies.
Manage channel agency, KOL, and content producer contracts (commissions, revenue sharing, anti-counterfeiting, and non-solicitation).
Compliance & Data Privacy: Coordinate the implementation of data protection standards (GDPR, Vietnam PDPL), maintain sub-processor records, handle cross-border data transfers (SCCs), and support ISO 27001 documentation.
AI & Digitalization:
Leverage LLM tools (Claude, ChatGPT) for preliminary contract reviews, build prompt libraries, and create legal review checklists (ensuring human-in-the-loop verification).
Manage contract lifecycles and approval workflows on Lark and Lark CRM systems.
Internal Coordination & External Counsel: Act as an effective bridge between business teams and external law firms; support corporate legal matters in Vietnam (employment, licensing, governance).
