1. Job Description
Investment and Project Development Support
Conduct legal research and analyze regulatory requirements; provide legal opinions and practical solutions on deal structures, project implementation procedures and risk management.
Assist management in strategic discussions, transaction structuring, investment proposals and key business decisions from legal, business and regulatory perspectives.
Review, draft and manage contracts, agreements and transaction documents relating to project development, investment activities, consulting services and other commercial arrangements with business partners and related parties.
Participate in negotiations and discussions with investors, partners and stakeholders, law firm regarding project development matters.
Liaise and coordinate directly with business partners, external counsel and other relevant stakeholders in relation to assigned matters.
Corporate Governance
Manage corporate governance matters of the Company's subsidiaries, including preparation and review of documents for the Board of Directors, General Meeting of Shareholders and Members' Council; ensure compliance with applicable laws, the Charter and shareholders' agreements.
Coordinate corporate approvals and authorization processes in accordance with internal governance requirements.
Support the implementation and monitoring of shareholders' agreements, joint venture agreements and other governance documents.
Perform other tasks to support the Company's subsidiaries as assigned by the Department Head.
Legal Update
Prepare periodic legal and regulatory updates, analyze potential impacts of legislative changes on the Company's business operations, investments and projects, and provide recommendations for compliance and implementation.
Documentation and Knowledge Management
Prepare, review, manage and archive legal, corporate and project-related documents.
Maintain document control systems and ensure proper record-keeping.
Develop and maintain internal legal precedents, templates and knowledge resources.
2. Requirement
Qualifications and experience:
University Degree in related majors - law or construction is preferable
At least 3 years of experience in real estate, specializing in project development and M&A transactions.
Fluent in English
Personal skills and abilities
Proficiency in MS Office (Excel, Word, PowerPoint)
Strong analytical and reporting skills
Good interpersonal, negotiation, and communication skills (both verbal and written) with relevant parties (investors, clients, professional consultants, and subcontractors)
Ability to work independently as well as in a team, especially under high pressure
Willingness to work overtime/weekends to complete pending tasks or meet urgent requirements.
