Senior Legal Counsel (Projects & International Affairs)

1. Responsibility:
As a Senior Legal Counsel, he/she will:
• Handle and provide comprehensive legal advice on major project agreements, including the EPC (Engineering, Procurement, and Construction) Contract, Crude Oil Supply Agreements, Receivable Purchase Agreements, and various offtake agreements;
• Solve and advise on legal issues related to the financing of the project, including matters addressed by or affecting Finance Documents and the overall project financing structure;
• Advise on legal aspects of international procurement activities that have a material impact on the company;
• Advise on business, commercial, and other procurement contracts, as well as other agreements in the normal course of business, ensuring and managing their compliance;
• Provide comprehensive legal advice on International laws, regulations, and legal requirements impacting the company's business and operations, specifically within project and international contexts;
• Handle all disputes arising in relation to construction matters, including insurance issues, in connection with the EPC Contract;
• Offer guidance on potential or actual contractual claims and liabilities, including assessing the feasibility of prosecuting or defending lawsuits and other proceedings related to projects and international affairs;
• Manage disputes and claims as assigned, including assessing the company's legal rights and obligations in such matters;
• Manage legal proceedings arising from administrative inspections, sanctions, actions, and audits, as assigned;
• Represent, defend, and act on behalf of the company in relevant legal proceedings when required and assigned;
• Identify and advise on legal risks and exposures specific to projects and international affairs, providing recommendations for mitigation and following up on their implementation;
• Advise on and support corporate governance matters relevant to the company's structure and operations;
• Carry out internal clarification / verification processes to handle non-compliance matters within area of responsibility.
• Provide legal support for and, as assigned, engage in interactions with government and state bodies/agencies/authorities, within the scope of your responsibilities. Support the Head of Legal regarding legal liaison with government bodies, state agencies, sponsors, and other essential stakeholders.
• Foster effective relationships with the organization's external counsel, clients, and customers on legal and compliance matters related to projects and international affairs;
• Support to develop the legal management system, and relevant policies and procedures to improve the management system.;
• Continuously identify possible system and performance improvements to maximize the efficiency;
• Prepare reports as business required;
• Other Tasks assigned by Direct Supervisor/Manager.
