1. Legal affairs
• Contracts review, advise and negotiation with related parties.
• Accurately and appropriately prepare legal documents, official letters in both English and Vietnamese as assigned by Department Head from time to time.
• Provide legal consultation for business activities and other relevant aspects.
• Work with Government authorities for company procedures & compliance to laws.
• Internal check and monitor the implementation of Corporate compliance policies & procedures.
• Initiate & implement activities for promoting compliance culture.
• Have experience in dealing with non-compliance/criminal issues.
• Provide advice on general corporate, regulatory, administrative and other legal matters as assigned.
2. Compliance
• Responsible for developing compliance programs, reviewing company policies, and advising on potential compliance risks.
• Conduct compliance training as required by Management and Department Head.
• Conduct investigation of non-compliance and internal audit (e.g., in respect of labor and workplace safety laws, international human rights standards, and/or the vendor/supplier code of conduct), ensuring confidentiality and non-retaliation for whistleblower reports.
• Maintain documentation of compliance, timely and practical advice.
• Provide update on new laws and regulations and evaluate the impact.
• Draft compliance-related reports as required by HQ.
• Risk Management (regional and local as CSA Promotor), including risk assessments, risk mapping, and follow-up on critical risks, implementing internal controls to prevent fraud, conflicts of interest, and corrupt practices, in accordance with Eisai's Internal Control Policy and Anti-Corruption Policy.
3. Corporate Governance & Risk Management
• Support in building a strong corporate governance system in place.
• Assess Compliance & operational risks for counter measures.
4. Other supporting tasks relating to legal and compliance or GA as assigned by Department Head.
Yêu cầu
• Bachelor's degree in law.
• Having at least 5-year experience of in-house positions, including handling legal and compliance issues in multinational corporate environments.
• Solid knowledge of labor law, antitrust law, intellectual property law, information confidentiality, personal data protection and other related laws.
• Excellent spoken & written by Business English good communication skills.
• Proficiency in MS office programs.
• Have strong analysis, problem solving, negotiation and presentation skills.
• Cooperative attitude.
• Proactive approach to daily tasks.
• Strong ability to streamline job processes.
• Be detail-oriented, accurate and able to meet deadlines while performing multiple tasks.
• Self-motivated and ability to work under pressure and ambiguity.
• Able to quickly adapt new working culture.
