Legal Management and Contracts
Draft, review, negotiate, and conduct legal due diligence for: Commercial contracts,Lease agreements, Franchise agreements (Master Franchise, LOI, NDA), Partnership andinvestment agreements, Supplier agreements.
Develop and standardize contract templates across the company.
Franchise and International Legal
Participate in building and refining legal structures for international franchise models(Australia, US, etc.).
Work with foreign lawyers and international partners to:Draft and negotiate Master Franchise AgreementsStructure legal entities (joint ventures, subsidiaries, licensing models)
Provide legal advice for SOKOGROUP's international expansion strategy.
Compliance & Internal Governance
Develop, update, and control: Internal processes, Operational regulations, Complianceframeworks across the organization.
Monitor compliance with laws and internal policies across departments.
F&B Operational Legal
Handle and manage legal procedures for store operations, including: Businessregistration, Food safety licenses, Alcohol retail licenses, Product declarations, Intellectualproperty (brand, packaging, concept).
Work directly with government authorities.
Risk Management & Dispute Resolution
Identify, analyze, and assess legal risks in: Operational activities, Investment projects,Expansion / franchise activities.
Represent the company in resolving disputes with: Suppliers and partners, Landlords,Employees.
Legal Updates & Strategic Advisory
Monitor and update new legal regulations.
Provide recommendations and actionable solutions aligned with business operations.
Advise directly to the CEO and Board of Management on strategic decisions.
Legal System Management
Manage legal documentation and contract storage.
Develop legal database systems and tracking mechanisms.
Coordinate with departments: Operations, Finance, HR, and
Business Development.

Working schedule: Monday to Friday at the office, Saturday working remotely (WFH)
Working hours: 08:30 AM - 05:30 PM, with lunch break from 12:00 PM - 01:00 PM
Public holidays in accordance with Vietnamese Labor Law
12 days of annual leave per year

Experience & Qualifications
Bachelor's Degree in Law
Minimum 4 years of in-house legal experience
Preferred
Experience in F&B / Hospitality / Retail
Experience in franchise or working with international partners
Lawyer practicing certificate is an advantage
Knowledge
Strong understanding of: Corporate law, Commercial and contract law, Labor law and taxation, Intellectual property
Familiar with: Franchise models, Cross-border agreements, Investment structures.
Skills
Excellent contract drafting and negotiation skills
Fluent in English (both written and spoken), with the ability to independently draft, review,and negotiate contracts with international partners
Strategic thinking and risk management skills
Ability to work independently and handle high pressure
Strong communication and cross-functional collaboration skills
