JOB SUMMARY
As a senior member of the Legal Department located in Vietnam, you will be responsible for providing advice and support on a wide range of local legal issues including contract, regulatory compliance and risk management matters.
This position is also responsible for providing corporate legal & secretarial services, preparation & submission of regulatory filings, strategic support and guidance with regards to legal matters. Furthermore, you will be maintaining regular communications with all relevant regulatory authorities (including MOF); developing & ensuring the maintenance of a proper corporate governance framework and policies; and identifying potential areas of legal and compliance risk. Ideally you must have a strong grasp of the financial industry.
JOB DUTIES
• Provide day-to-day management on all aspects of legal function for the Company, including:
- Regulatory/legal issues relating to insurance and reinsurance brokering (contract review, policy wordings);
- General corporate and commercial advisory work;
- Corporate litigation, dispute management and resolution; and
- Review and approve agreements, legal reports, etc.
- Represents and advises legal transactions which may include key vendor, distribution and M&A agreements;
- Advise on local civil, trade, labor, tax matters, changes in law, litigation (for both claims & non-claims matters). IT, real estate matters when appropriate; and
- Manage corporate governance including all operational local licenses and relationships with regulators
• Develop a system to efficiently disseminate the information, set up and maintain legal library (softcopy & hardcopy) of legal regulations and legal advice;
• Manage and monitor the implementation and compliance with Decree on Personal Data Protection (PDPD);
• Represents and advises the Company in substantial legal and business transactions which require legal expertise and generally involve a high degree of original and creative legal endeavor, evaluation of complex or novel issues, or vigorous adverse parties. Such transaction may include key vendor, distribution and M&A agreements, amongst others.
• Performs comprehensive research and analysis in collaboration with external and internal staff counsel in assigned areas of specialization; directs, focuses and refines comprehensive research of others on matters including insurance regulation, corporate governance, litigation, employment matters, IT, real estate and compliance matters.
• Maintains current knowledge of legal issues and developments in the law; evaluates legal trends for impact on the Company.
• Manage corporate governance and provide corporate secretarial functions for the Company;
• Review and approve all material agreements entered and performed by the Company;
• Maintain the Company's license (e.g. business scope extension) and relationship with regulators in conjunction with local and regional management;
• Retain and supervise external non-claims counsel and develop an approved panel list as needed;
• Provide advice on real estate leases and purchase and sale agreements affecting the Company;
• In conjunction with Regional & Home Office Legal, oversee and monitor all intellectual property rights;
• Perform periodic governance & international protocol audits;
• Provide sufficient coaching and/or training to lead the local legal staff when necessary to ensure the quality and turnaround time of the legal advice
• Proactively work with and lead, if so necessary, the local legal staff, local Management Leadership Team and other business stakeholders to solve or handle any legal issues or to review and implement any project/initiative which impacts local operation
• Representing the local operation before regulatory and administrative bodies where necessary
• Report all issues to the GRM East Chief Counsel & Home Office Legal per the Minimum Operating Protocol and perform periodic governance & international protocol audits.

Yêu cầu
• At least 8-10 years legal experience at a law firm or as in-house counsel; insurance or financial industry related experience is preferred;
• Familiarity with corporate operations and SBU objectives with strong interpersonal skills and the ability to interface with all levels within the company.
• Strong commercial acumen with the ability to provide practical business professional legal advice and assistance
• Excellent analytic & legal writing skills with strong communication skills in English (both written and oral)
• Solid problem-solving abilities with the capabilities to identify and analyse organizational and business needs
• Good stakeholder relationship management skills with the ability to maintain effective relationships with internal and external constituencies and customers
• Proven effective supervisory and leadership skills in being pragmatic, creative, team-oriented and process-driven
• Company Secretarial experience will be an advantage;
