MÔ TẢ CÔNG VIỆC
Contract Management and Legal Support: Review, draft, and negotiate contracts to ensure compliance with applicable laws and alignment with business objectives; provide legal advice to business teams on day-to-day operations and commercial arrangements; participate in key business decisions to assess and mitigate legal risks.
Corporate and Regulatory Affairs: Handle company registration, changes to corporate legal information, and corporate governance matters in Vietnam; liaise with government authorities and ensure the company's compliance with applicable laws and regulations.
Compliance and Internal Controls: Drive and support the development of the company's compliance framework; review and improve policies, SOPs, and internal control procedures from a legal perspective; ensure legal and regulatory risks are incorporated into business operations; monitor the implementation of compliance programs across departments.
Dispute and Risk Management: Identify potential legal risks arising from day-to-day operations and provide practical and actionable legal advice; support the handling of disputes, claims, and legal proceedings; coordinate with external law firms and legal advisors to ensure matters are effectively managed.
External Counsel Management: Manage and coordinate external law firms to ensure cost-effective and high-quality legal support; monitor the performance, progress, and deliverables of external legal counsel.
Legal Administration and Document Management: Manage the company seal, including registration, safekeeping, and control of its use; maintain and archive contracts and legal documents to ensure accuracy, proper recordkeeping, and traceability.
Intellectual Property: Handle intellectual property matters, including registration, protection, and other related activities as required.
YÊU CẦU CÔNG VIỆC
Bachelor's degree or above in Law or a related field.
3-5 years of relevant legal experience, including experience in an in-house legal department or a law firm.
Strong knowledge of Vietnamese laws and regulations, particularly labor law and corporate law.
Good knowledge and practical understanding of compliance, internal controls, and corporate governance.
Experience in the manufacturing industry or a multinational company is preferred.
Strong communication and coordination skills, with the ability to work independently and manage multiple priorities simultaneously.
Fluent in English or Chinese for business purposes; candidates who are able to work effectively in a bilingual environment are preferred.
