Legal Counsel

The Legal Counsel will assist the Legal Manager in handling all legal matters of the Company and all the subsidiaries in the Group from a Vietnamese legal perspective as instructed from time to time.
The Legal Counsel as instructed by the Legal Manager, will be responsible to provide legal advice and legal updates on laws and regulations related to the Company's business and operations (ERC, IRC, Permits, Licenses, etc.) and to coordinate with relevant departments in the Company and the Group and all relevant parties to support the daily operation of the Company and the Group in accordance with the laws of Vietnam, the establishment of special purpose vehicles, merger and acquisition and project/corporate financing.
Duties and Responsibilities
• Responsible for general counselling/ providing advice on Vietnam legal matters.
• As instructed by the Legal Manager, draft, review, advise on negotiating, and preparing all related contracts, agreements, papers, letters, instruments in relation to the Company and the Group's business development and operation.
• Responsible for procuring all permits, licenses, and approvals for the daily operation of the Company and the Group and to secure new projects for the Company and the Group.
• Localization and implementation of the Group policies in Vietnam, understanding and monitoring compliance with corporate policies and principles of good corporate governance.
• Provide legal clarification/interpretation and support other departments in the Company or in the Group to any queries arising.
• Regularly update Vietnamese Laws, Rules & Regulations and share with related departments the source and reference for such related regulations, notifications, and laws.
• Conduct legal analysis and legal research as appropriate on a case-by-case basis.
• Develop and maintain working relationships with key government agencies as instructed by the Legal Manager.
• Handle inquiries and investigations by various government agencies.
• Provide legal support for community's relation activities.
• Coordinate, liaise with external service providers including external counsels.
• Other legal related matters as assigned by the Legal Manager.
