I. Job Summary:
1. We are seeking a highly capable and commercially minded Real Estate Lawyer to join our growing legal and development advisory team. The successful candidate will provide comprehensive legal support across all stages of real estate development, acquisitions, project structuring, licensing, sales transactions, financing, and dispute resolution in Vietnam.
2. This position requires strong practical knowledge of Vietnamese real estate laws and regulations, including land use rights, zoning, master planning, project licensing, sales documentation, banking regulations, and real estate financing procedures. The ideal candidate should possess excellent legal drafting and negotiation skills, sound commercial judgment, and the ability to work effectively with government authorities, financial institutions, investors,
developers, and purchasers.
3. Candidates with experience working for reputable international or foreign law firms, major developers, or multinational organizations are highly preferred.
II. Scope of Works:
1. Real Estate & Development Legal Advisory
- Provide legal advice and support relating to: Vietnam Land Law; Housing Law ; Real Estate Business Law; Construction Law; Investment Law; Planning and zoning regulations; Related decrees, circulars, and regulatory requirements; Hotel and Property Management Contract
- Advise management and project teams on legal risks, regulatory compliance, project structuring, and transaction strategies.
- Review project legal status, land use rights, zoning approvals, planning parameters, and development conditions.
2. Licensing, Zoning & Government Liaison
- Handle and coordinate legal matters relating to: Master planning approvals ; Zoning and land-use planning ; Investment approvals; Construction permits; Project licensing procedures; Regulatory submissions and compliance requirements.
- Liaise and negotiate with relevant Vietnamese government authorities at district, provincial, and ministerial levels.
- Maintain strong working relationships with regulators, consultants, and legal authorities to facilitate project approvals and compliance matters.
3. Sales & Transaction Documentation
- With strong knowledge and experience in drafting, review, negotiate, and finalize:
• Sales and Purchase Agreements (SPA);
• Property Management / Hospitality Management Contract;
• Reservation Agreements;
• Deposit Agreements; Leasing documents ;
• Joint venture agreements;
• Development and consultancy agreements;
• Financing and security documents.
- Prepare standardized legal templates and sales documentation for residential, commercial, mixed-use, hospitality, and branded real estate developments.
- Advise sales and management teams on legal issues relating to customer transactions and project sales structures.
4. Dispute Resolution & Claims Management
- Handle disputes between developers, buyers, contractors, agents, and related stakeholders.
- Manage legal claims, settlement negotiations, and dispute resolution processes.
- Coordinate with external counsels, arbitration panels, and litigation teams when required.
- Provide practical and commercially balanced recommendations to minimize legal exposure and protect company interests.
5. Banking & Real Estate Financing
- Advise on Vietnam banking regulations relating to real estate financing and development projects.
- Review and negotiate loan agreements, security documents, mortgage arrangements, and financing structures.
- Support project financing transactions with local and international banks.
6. Possess practical understanding of:
