Mô tả công việc
A. JOB DESCRIPTION
• Custodian of all Company's contract templates and contract agreements.
• Responsible to ensure the completeness of all contracts and that they are suitably represented in both Vietnamese and English.
• Liaise and negotiate with Clients, other consultants, Spore HQ counterparts (Contracts, Legal & Risk Management) and related parties on all contracts matters.
• Support in translations, presentations and coordination with all relevant parties to ensure that contractual documentations are fairly and accurately represented for the interest of the project and Company.
• Continuously refine existing contract templates for each market sector or creating a new one when needed, to accurately represent the projects scope of works, deliverables, and ensuring project contractual requirements are met whilst safe guarding the interest of the Company.
Daily tasks include:
• Review/draft contracts with Clients, sub-contractors, business partners or with the HQ.
• Review carefully contractual terms and conditions in the format of Company or provided by Clients or another party, find discrepancies between two languages of English and Vietnamese.
• Highlight risky clauses and assess its potential issues, plus able to suggest alternative contractual wordings.
• Understand well the business/services to assess the scope of works, program and payment schedule through the coordination with related teams within the Company.
• Must be able to negotiate with Clients/other parties to achieve favourable and fair terms and conditions for the Company.
• Translate documents/emails/letters.
• Interpret discussions/presentations in meetings when required.
• Draft letters for the BOD to review to respond to contract/services related issues with Clients/other parties.
• Support technical teams to deal with Clients on stage payment requests according to relevant work stage completion, and follow up on the paperwork for payments if needed.
Occasionally required to perform the role of Contract Administrator (CA) for a particular construction project, which shall include:
• Assist Client in the administration of construction contracts.
• Acting as the point of contact for all project communication related to contracts between Client and Contractors.
• Document control for all the project instructions and communications related to contracts.
• Provide regular updates on contractual matters to the Client including design and installation progress, approvals and outstanding Client's actions.
• Record the meetings of contracts meetings.
• Assist Client in Issuance of instructions, notices, consents, requests, schedule of defects, certificate of making good defects, variation orders, payment certification, final payment, and statements pursuant to the Conditions of Contract.
• Ensure the instructions requiring changes in the Employer's requirements as authorized by the Employer are issued to the Contractor(s) timely.
• Document Notices of Delay from the Contractor(s), coordinate inputs from the Design and Supervision teams and issue Extensions of Time as appropriate or otherwise notify the Contractor(s) that no time extension is due. The CA will advise on contractual view only, together with technical/ commercial input from other CAs and advice from the Employer, in a timely manner.
• Issue notices to the Contractor(s) on his failure to complete the Works by the Completion Date.

• University Degree with minimum 10-year experience.
• Well verse in contracts pertaining to the real-estate and building construction industry.
• Familiarity with various Conditions of Contracts, eg. FIDIC.
• Possesses a good understanding of the real estate and building construction business and market sentiments.
• Possesses a business-centric mind set.
• Require to travel and may encompass business development roles.
• Possesses a good command of English and Vietnamese.
• Vietnamese who had graduated with any Business related degrees or with relevance to the real estate or build/design industry, with an excellent command of English or from an English spoken University as the first language will have an added advantage.
C. OTHERS
1. Qualification: University degree or Master
2. English: Good written and spoken English is compulsory
3. Computer Skills: Microsoft Office (Word, Excel, Powerpoint, Outlook)
