Temporary Counsel (7-Month Labor contract)

1. Overview
- Purpose of the Role: Responsible for providing legal services (including legal advice and legal documentation) on medium sophisticated matters to both Hanoi and Ho Chi Minh City Branches (the "Bank") to ensure the Bank can operate in accordance with various legal parameters.
- Candidate may independently work or co-work with one or more team members or in consultation with team lead or department head to complete the assigned tasks.

2. Roles and Responsibilities:
- Draft/review legal documentation and prepare legal advice/opinion to queries related to banking and non-banking such as IP, labor, competition, etc. Regarding banking queries, focusing areas of this Role includes commercial loan (onshore and offshore booking), collateral and guarantee support, debt restructuring and insolvency/administration matters, project finance transactions, customer's board resolution, authorization letter, client's consent letter, or Non-disclosure agreement templates etc. Investment Banking products (including Project Finance, Real Estate Finance, Leveraged and Acquisition Finance, Export Credit, Commodities and Structured Trade Finance, Debt Capital Market - Loans, ESG Finance, Securitization and Fund Finance, Aviation Finance, Debt Capital Market - Bonds, Securitization-Bond), account, Prepare report to regional legal office. Other areas may include trade finance transactions, LC, collection, Trust Receipt, bills discounting (with or without LC), Stand-By LC, Factoring, Cash collection, Global Notification Services, GCMS and GPH service, Scanned file service, fax/email transactions, e-signature agreement, E-tax service, Export Credit, Commodities and Structured Trade Finance, Fixed Term Deposit, Remittance, litigation and contentious matters management, and internal investigations, employment law, financial crime prevention legal issues, regulatory compliance legal issues (incl. competition law, data privacy), vendor contracts and intragroup arrangements, legal department policies and procedures and legal risk management, Sales & Trading and treasury function, Institutional Investors Sales and Trading: FX (including FX Comsuite and Electronic Transaction Platform) (and requests sent from Treasury team), derivatives (including those sent from Japanese Corporate Banking Clients or Global Corporate Banking Clients), Embedded derivatives product offerings, repo, Stock lending and cash trading activities, Market infrastructure and default management matters, etc.
- Draft/review legal documentation and prepare legal advice/opinion to support medium sophisticated deals.
- Provide training on local laws/regulations to Relationship Managers and staffs of other functional departments (by classroom training, legal bulletins, legal topics or guidebook).
- Provide input into legal dispute and litigation matters involving the Bank as well as provide legal support and advice for the resolution of and settlement of claims against the Bank.
- Support the interpretation and application of changes in law and regulations to ensure legal compliance in the Bank.
- Contribute and support the implementation of regional/ local legal frameworks and templates.
- Support in developing and updating policies to ensure alignment with all relevant regulations.
- Maintain good working knowledge of industry trends, products, relevant laws and regulations.
- Research and comments on draft laws.
3. Key Relationships (with whom & Purpose)
- External legal counsel: seek complex legal advice.
- Local authorities (e.g. State Bank of Vietnam, Ministry of Justice, Ministry of Planning and Investment, etc.): Seek for clarification/guidance.
- Banking Working Group and Vietnam National Banking Association: Seek for discussion/raising common voice to the local authorities.
- Arbitration centers/courts: Reference on settled precedent cases.
