Scope of work:
- Advising the Board of Managment: Offer expert legal opinions to assist the BOM in decision-making processes, ensuring all corporate actions comply with legal standards.
Investment Legal Advisory: Provide legal guidance on the investment projects, including due diligence, risk assessment, and compliance with financial and securities regulations.
- Contract Management: Develop, appraise, and revise contracts to protect the company's interests while ensuring compliance with legal requirements. This includes negotiating terms with third parties and mitigating potential legal risks.
- Legal Dispute Handling: Support in resolving legal disputes by advising on litigation strategies, liaising with external counsel, and representing the company in legal proceedings as necessary.
- Regulatory Evaluation: Continuously monitor and evaluate changes in legal regulations that could impact the company's operations. Provide timely updates and strategic advice to ensure compliance.
- Development of Internal Regulations: Lead the creation and revision of the company's internal regulations and policies to enhance corporate governance and legal compliance.
- Other legal-related tasks assigned by the BOM
Yêu cầu
Qualifications:
- Law degree from a reputable institution. Additional qualifications in business law or financial law are a plus; fund management certificate by SSC is preferred.
- Minimum of 2 years of working experiences in legal counsel/ assistant for fund management firms, or securities companies or related departments (compliance, investor relations, custody or underwriting services,...) in leading financial institutions. Demonstrated experience in advising on corporate governance issues, including board advisory services and the development of corporate policies.
- Strong understanding of Vietnamese law, particularly in areas impacting financial services and corporate governance. Knowledge of regulatory requirements (e.g. regulations on securities/investment activities, funds, VDS in Vietnam), industry standards, and best practices in fund operations and investment management.
- At least 2 years of working experience in fund management, securities, banking, finance, or related fields.
