JOB PURPOSE & PERFORMANCE OBJECTIVES
- Legal & Compliance Manager is responsible for ensuring that the Organization's legal policies are in compliance with the regulatory and legal frameworks of the industry. In addition, the role is also responsible for putting in place legal & compliance policies and procedures and ensuring that they are aligned to the Organization's strategies and that they are adhered to.
- Legal & Compliance Manager will also serve as an advisor to the Board of Management and provide counsel and guidance with regards to legal & compliance matters relating to the Organization.
RESPONSIBILITIES
Strategic Leadership
- Responsible for providing and developing the strategic direction and counselling for legal & compliance cases to minimize the Organizational impacts
- Responsible for all corporate legal & compliance matters and support the Managing Director in updates to the Board
- Serve as an advisor to the Board of Management and provide counsel and advise to the Board of Management with regards to the Organization's legal rights and obligations
- Continually be kept updated of the relevant laws and regulations to ensure compliance with the regulatory and legal frameworks of the industry
Key Responsibilities
- Coordinate with BUs or departments to review, develop, implement, and maintain the policies and procedures from time to time and also ensure to comply with law and regulations from authorities to minimize legal risks.
- Responsible for all activities of legal support & consultation , compliance control as well as oversee that all business activities of the Company comply with the provisions of law and State management agencies in the operation field of company.
- Appraise, review and propose amendments to the Company's processes, regulations, and forms according to PTG's policies, ensuring compliance with the provisions of law and State management agencies in the business field of company.
- Directly provide legal advice, participate in solving legal cases or at the request of competent authorities.
- Legal due diligence for the signing of contracts of the Company; Legal due diligence for documents and records serving the Company's business and operations.
- Legal due diligence for new products and services of the Company in compliance with the law and States regulations.
- Develop procedures or SOP of legal & compliance function in serving the Company's business activities and communicate to BUs/departments.
- Participating in the resolution of complaints, disputes, litigation and other issues of the Company related to legal & compliance factors;
- Responsible for all the company's operating licenses and permits and manage relations with government agencies, where required.
- Develop and Implement the training related to legal & compliance for employees as well as notify employees the impact on the organization if these are not compliance with.
- Implement compliance control:
- Organize and develop tools for risk assessment of operations at the Company under the direction/plan of the Board of Directors.
- Directing the preparation and organization of internal inspection plans; Assessing the internal control system, checking compliance with internal regulations, settling complaints following PTG's regulations from time to time.
- Organizing the implementation of internal audits of the company, identifying high-risk areas; recommending and proposing to the Board of Directors measures to correct and promptly overcome the shortcomings, violations and risks discovered through audits, inspections and inspections; monitor and supervise the implementation of recommendations as assigned by the Managing Director
- Organize, manage and administer the activities of the legal department, including but not limited to the following tasks:
- Manage and direct the performance of tasks in the legal department according to the goals/work plans and responsibilities of the legal department on the basis of compliance with the Company's regulations and to meet with business goals.
- Responsible for deciding the work of the legal department; Ensure the legal activities comply with the legal department's policies, regulations, procedures, internal guidelines and service quality commitment;
- Establish and maintain relationships between the Company and relevant authorities, organizations and individuals to serve the works effectively;
- Report the works related to legal and compliance periodically or at the request of the Board of Directors for each case;
- Perform other duties as requested by the Managing Director;
Staff Management & Development
- Identify the necessary skill sets required to meet business demands and ensure that recruitment and retention strategies are aligned to meet requirements.
- Review the performances of direct reports to ensure that individual and Organizational targets are met.
- Set and communicate performance targets for the staff to ensure alignment of the individual's objectives to the corporate objectives.

Requirement
1. Bachelor's degree in laws, Lawyer Certificate is required.
2. Experience: At least 7 years of practical work experience with 3 years as a manager level in the legal field with a strong understanding of relevant laws and regulations.
3. Expert knowledge of corporate law.
4. Proficiency in using English.
5. Excellent negotiation and drafting skills.
6. Strong analytical abilities to assess complex legal issues.
7. Proven leadership skills with experience managing a team of lawyers or legal professionals.
8. Being able to start work immediately is an advantage.
