COMPANY OVERVIEW
CNGRA (the "Company") is a renewable energy investor and developer funded by Climate Fund Managers and Norfund. The Company develops and operates rooftop solar projects across Vietnam, the Philippines, and Indonesia, contributing to the transition toward cleaner and more sustainable energy solutions in Southeast Asia.
POSITION SCOPE
The Legal Manager provides legal, commercial and corporate secretarial support to the Company, with a primary focus on Vietnam project and commercial legal matters and corporate secretarial and legal entity management for Vietnam and Singapore.
The role provides practical, commercially minded legal advice across project development, contracting, financing and corporate matters, while ensuring compliance with applicable laws and supporting the Company's business objectives and growth.
JOB DESCRIPTION
1. Corporate secretary & governance
- Act as Corporate Secretary for the Company's entities in Vietnam and Singapore.
- Manage board/shareholder meetings, notices, agendas, minutes, resolutions and statutory filings.
- Maintain corporate records, statutory registers and legal entity documentation.
- Manage incorporation, entity maintenance and corporate structure changes.
2. Commercial & project legal
- Lead drafting, review, and negotiation of EOLA, PPA, lease, EPC, O&M, CfD and other commercial and financing agreements, including leading negotiations with customers and other counterparties and analysing contracts to identify potential risks and liabilities.
- Provide legal support throughout project development, construction and operations.
- Provide contractual advice and support to all concerned departments (
Business Development, Engineering & Construction, Finance, Asset Management, O&M, etc.), aligning legal strategy with business goals.
- Advise on contractual obligations, variations, claims, breaches and commercial negotiations.
- Draft and negotiate land lease / landowner agreements and verify the legal title and land-use status of project sites.
3. Project development, due diligence & regulatory
- Conduct legal due diligence on projects, clients, counterparties, permits and licenses.
- Guide and support obtaining and maintaining permits, licenses and regulatory approvals, including investment policy approvals, feasibility studies, master planning, construction permits, environmental approvals, land use approvals/certificates and grid-connection agreements.
- Prepare and follow up permit/license applications and related administrative proceedings, including drafting/reviewing periodical reports, explanation reports and project-related letters required for permits and licenses, and responses to public reports or objections affecting the Company's projects, to protect the Company's rights and interests.
4. Financing, M&A & Corporate transactions
- Provide legal support for project financing, refinancing and security arrangements.
- Advise on legal structuring of SPVs, transaction structures and financing schemes.
- Support M&A, JVs, restructuring and other strategic/corporate transactions, including review and negotiation of SPA, SHA, MOU and JV agreements, and participate in negotiations and deal closings.
- Coordinate with investors, lenders, advisors and external counsel.
5. Contract, compliance & legal risk management
- Establish and maintain an effective contract management framework.
- Monitor key contractual obligations, milestones, renewals and legal risks.
- Monitor applicable legal and regulatory requirements in Vietnam (including investment, construction, electricity, land and environmental laws) and Singapore, including new laws, draft regulations and policy developments affecting the renewable energy sector; support related compliance and applications and maintain a database of key applicable laws and regulations.
- Develop legal policies, governance practices and compliance frameworks; establish, review and periodically update internal contract templates.
- Prepare periodic legal reports for Management and investors (legal risk summaries, compliance checklists, contract trackers) and maintain legal documentation with proper version control for audits and due diligence.
6. External counsel & dispute management
- Manage external counsel on litigation, disputes, regulatory and complex legal matters, including scope, cost, quality and timeline of external legal support.
- Develop and implement dispute prevention and resolution strategies for contractual, property and regulatory matters; identify legal risks early across project execution phases; track all open matters and follow up with the persons in charge until closure.
7. Other responsibilities
- Plan, implement, monitor and report on assigned tasks, and achieve the job targets and/or KPIs assigned by the Company from time to time.
