JOB PURPOSE
Execute day-to-day and strategic corporate finance tasks across three main areas:
Debt Financing & Banking Relations: Build financial models, prepare loan files, manage bank relationships, and execute debt facilities (working capital lines and CAPEX loans).
Corporate Structure & M&A (Internal Sell-Side Advisor): Prepare teasers and investment memos, manage data rooms, build valuation models, and assist in deal execution for M&A and group restructuring.
Reporting & Investor Relations (IR): Prepare monthly and quarterly financial/operational reports for shareholders & lenders
KEY RESPONSIBILITIES a. Debt Financing & Banking Relations
Bank Relationships: Maintain regular contact with existing banks and lenders; meet regularly to share business updates. Approach new banks to expand the credit network and explore new loan products.
Financial Models & Cash Flow: Build models to forecast short- and long-term cash flow; calculate loan sizing and debt repayment capacity for working capital and CAPEX projects.
Loan Files & Applications: Prepare credit applications, and capital utilization plans
Contracts & Collateral: Review loan and collateral agreements; handle asset valuation, mortgage registration, and fulfill Conditions Precedent (CPs) to disburse funds on schedule.
Post-Disbursement & Covenants: Prepare post-loan reports required by banks; track financial covenants regularly to ensure zero breach.
b. Corporate Structure & M&A
Deal Materials: Act as an internal sell-side advisor to prepare teasers, Investment Memos (IM), and slide presentations for M&A and restructuring projects.
Valuation & Modeling: Build valuation models (DCF, multiples) and financial projections for M&A targets, divestments, or subsidiary reorganizations.
Data Room & Due Diligence: Set up and manage Virtual Data Rooms (VDR); coordinate due diligence (DD), answer investor Q&A, and review historical numbers.
Closing & Handover: Track closing checklists, monitor and ensure corporate governance compliance after closing.
c. Reporting & Investor Relations (IR)
Shareholder Reports: Prepare monthly and quarterly financial and operational update decks for shareholders and lenders
Variance Analysis: Analyze and explain variances in revenue, gross margins, EBITDA, and working capital against budget and previous periods.
Market Updates: Track interest rates, credit room, and lending policies across banks.
Team Support: Draft presentation slides and conduct ad-hoc financial analyses assigned by the manager.
JOB REQUIREMENTS
Bachelor's degree in Finance, Accounting, Auditing, Banking, or Economics.
Working knowledge of bank lending procedures, collateral requirements, and basic M&A/restructuring steps.
CFA, ACCA, or CPA (completed or pursuing) is a plus.
2 to 3 years of experience in: Audit / Deals / Valuation (Big 4 preferred); OR Investment Banking (IB) / Debt Capital Markets (DCM) / Equity Research / Corporate Finance
Skills
Financial Modeling: Strong Excel skills to build cash-flow forecasts, debt schedules, and valuation models cleanly.
Financial Analysis: Good ability to read financial statements, understand business drivers, and spot red flags.
Report Writing: Clear writing skills for credit applications, investment memos, and shareholder decks.
Communication: Confident in working with banks, external advisors, and internal departments.
Languages: Good professional English (speaking and writing) for documents and partner discussions.
