Mô tả công việc
- Lead the review and control of complex legal contracts and transactions, especially in the areas of investment, capital mobilization, and strategic cooperation (foreign investment).
- Provide high-level legal advice to the Management Board on investment activities, M&A transactions, land-related projects, and international partnerships.
- Participate in designing and proposing investment structures, capital mobilization schemes, and transaction models suitable for each project; assess and manage overall legal risks.
- Lead legal due diligence processes and handle key legal matters arising during the implementation of investment projects.
- Directly participate in/coordinate negotiations with investors, partners, funds, and domestic and foreign financial institutions.
- Represent the Company in working with government authorities; participate in dispute resolution and litigation matters, including disputes involving foreign elements where required.
- Prepare periodic reports (weekly/monthly/yearly) and report arising legal matters.
- Perform other tasks as assigned by management.
Yêu cầu
- Bachelor's degree or above in Law.
- 7 - 10 years of experience in corporate legal practice, with strong expertise in investment, M&A, and land-related projects.
- Practical experience in foreign investment transactions, having participated in advising/structuring or implementing deals to raise capital from foreign investors in Vietnam.
- Experience in finance and banking-related matters (bond issuance, share issuance).
- Strong legal thinking, problem-solving skills, and ability to work independently with senior management and government authorities.
- Good command of English for professional use, particularly in contract drafting and contract negotiation.
- Preference will be given to candidates with experience working at FDI companies, investment funds, or international law firms specializing in investment consulting
- Preference will be given to candidates holding a lawyer's license.
