We are looking for an experienced Senior Legal Counsel to join EmbedIT Vietnam and help provide comprehensive legal and compliance support for our operations in Vietnam and across the wider region. This role offers the opportunity to engage in diverse legal matters and contribute to the strategic growth of our business.
As part of a broader global team, you will also work closely with the Global Legal, Compliance and Procurement and Licence Management teams on various projects and tasks.
About the Role
As Senior Legal Counsel/Legal Manager, you will deliver legal, compliance and commercial advice on complex IT services agreements and related matters, including data security and IP protection. You will manage negotiations with clients and vendors, including cross-border deals in Southeast Asia, and advise EmbedIT Vietnam as an employer on labour law matters. You will also support corporate and back-office legal compliance matters, including the corporate affairs of EmbedIT Vietnam and, as needed, of group companies elsewhere in the SEA region.
Key Responsibilities
Provide legal advice and support for EmbedIT Vietnam's operations and, as needed, its regional business, focusing on legal and contractual aspects of IT solutions offered to partners and customers.
Draft, review, and negotiate complex IT services agreements and related legal documents (mostly in English), including cross-border deals in Southeast Asia.
Advise EmbedIT Vietnam, as employer, on labour law matters, including employment contracts, internal policies and employee-related issues.
Advise on matters related to data protection, data security and IP protection in Vietnam and in the wider region.
Collaborate with internal stakeholders and external law firms to address legal challenges, including cross-border and multi-jurisdictional issues within Vietnam and neighbouring countries (e.g. Indonesia, Thailand, the Philippines).
Contribute to the development and protection of EmbedIT's IT solutions, including intellectual property matters.
Handle corporate legal matters of EmbedIT Vietnam and, where required, supervise corporate matters of group companies located in the SEA region outside Vietnam.
Support back-office legal activities as needed.
About You
Experience: at least 5 years of business law practice, either in a reputable law firm, a corporate legal department, or a combination of both, with a focus on complex commercial transactions.
Labour law: proven experience advising an employer on labour law matters in Vietnam.
Corporate law: good knowledge and practical experience of corporate legal matters of Vietnamese companies.
Language skills: fluency in English, with excellent verbal and written communication skills to engage effectively at all organizational levels. Ability to draft and negotiate contracts and policies in English is a must.
Problem-solving: proven ability to identify and resolve complex legal issues, particularly in cross-border and multi-jurisdictional contexts.
Extra skills: strong commercial drafting, negotiation, and transaction-closing expertise. Good understanding of IT and software-specific intellectual property legal matters is a plus.
Personal attitude: we value responsible individuals who approach challenges with a positive attitude and focus on finding ways to get things done.
Team spirit: proven ability to work well in a team or task force consisting of legal and non-legal participants.
Preferred Qualifications:
Exposure to the laws of neighbouring SEA countries and experience negotiating cross-border deals in Southeast Asia.
Experience supervising corporate matters of companies located in the SEA region outside Vietnam.
Experience with data processing matters.
Experience working for a regional headquarters in Southeast Asia.
Familiarity with intellectual property law.
Experience providing legal support in a global corporate setting.
Experience negotiating and drafting IT implementation and IT servicing contracts in Vietnamese and English.
Experience reviewing bid and (public) tender documentation.
