1. POSITION PURPOSE
Provide comprehensive legal support to B.Pure Vietnam (BPVN), ensuring all business operations comply with Vietnamese law and health supplement industry regulations. This role is responsible for legal risk management, commercial contracts, labour compliance, intellectual property protection, and coordination with the parent company B.Pure Australia (BPAU) on cross-border legal matters.
2. KEY RESPONSIBILITIES
2.1 Commercial Contract Management
• Draft, review, and negotiate all commercial agreements: supplier, distributor, OEM, pharmacy chain (Long Chau, Pharmacity), e-commerce platform, service, and marketing contracts.
• Develop and standardise contract templates for each transaction type; update in line with legislative changes.
• Maintain the Contract Register and centralised filing system for all executed agreements (BPVN, with BPAU cross-reference where applicable).
• Monitor renewal and termination deadlines; provide early alerts to relevant departments.
2.2 Internal Legal - Labour & Human Resources
• Draft and review employment contracts, internal regulations, and disciplinary policies in compliance with the Labour Code 2019 and Decree 145/2020/ND-CP.
• Advise HR on personnel policies, disciplinary procedures, and lawful termination processes.
• Support resolution of internal disputes and labour grievances; liaise with local labour authorities when required.
2.3 External Legal & Dispute Resolution
• Handle external legal matters: supplier and customer disputes, debt recovery.
• Liaise with government authorities (Department of Industry and Trade, Vietnam Food Administration, Department of Health) on legal and regulatory issues.
• Manage intellectual property protection: trademark registration, maintenance, and enforcement against IP infringement.
• Coordinate and manage external counsel as needed.
2.4 Compliance & Risk Management
• Support monitoring of compliance with advertising, labelling, and packaging regulations under applicable law and platform policies (Shopee, Lazada, TikTok Shop).
• Track legislative changes and update the Board of Directors and relevant departments accordingly.
• Establish and maintain an internal compliance management framework.
2.5 Business Advisory & Cross-Departmental Support
• Provide legal advice to Sales, Marketing, and Operations on legal risks in day-to-day business decisions.
• Support legal assessments for new projects, product launches, and promotional campaigns.
• Coordinate with BPAU on cross-border legal matters (transfer pricing, intercompany agreements, shared IP).

3. CANDIDATE REQUIREMENTS
3.1 Education & Qualifications
• Bachelor of Laws (LL.B.) from a Vietnamese university accredited by the Ministry of Education and Training.
• Bar Admission (Vietnamese Bar licence) is a strong advantage; preference given to candidates already holding a practising certificate.
• Master of Laws (LL.M.) or additional professional certifications (e.g. International Commercial Law) are a plus.
3.2 Experience
• Minimum 3-5 years of experience as an in-house lawyer or in commercial law practice at a law firm.
• Strong preference for experience in FMCG, pharmaceuticals, health supplements, or healthcare.
• Experience working with e-commerce platforms (Shopee, Lazada, TikTok) is an advantage.
• Familiarity with the business environment of foreign-invested enterprises (FDI companies) is a plus.
3.3 Professional Knowledge
• Strong command of the Commercial Law, Enterprise Law, and Investment Law.
• Thorough understanding of the Labour Code 2019, Decree 145/2020/ND-CP, and related guidance documents.
• Knowledge of the health supplement regulatory framework: Decree 15/2018, Circular 43/2014/TT-BYT, product notification and food advertising regulations.
• Knowledge of intellectual property law and trademark registration in Vietnam.
3.4 Language & Skills
• Working English (written and spoken) - required for cross-border coordination with BPAU.
• Ability to draft bilingual legal documents (Vietnamese - English) is an advantage.
• Strong negotiation, presentation, and communication skills across all levels.
• Business-oriented mindset with the ability to balance legal risk and commercial objectives.
• Proactive, detail-oriented, able to work independently and manage multiple tasks.
