Legal Manager

Responsibilities
1. M&A:
• Lead legal workstreams for the end-to-end M&A lifecycle, encompassing both project-level (asset) and platform-level (equity) acquisitions. This includes the comprehensive understanding of complex transactional structures and the drafting/negotiation of Share Purchase Agreements (SPAs), Shareholders' Agreements (SHAs), and Investment Agreements.
• Conduct due diligence investigations, negotiate deals, and manage post-acquisition integration processes.
• Advise on regulatory compliance matters related to M&A transactions, including antitrust laws, securities laws, and foreign investment regulations.
• Develop and implement exit strategies for investments, including asset sales, IPOs, and private placements.
• Manage the legal due diligence (LDD) process, identifying red-flags and material risks related to equity/project acquisition.
2. Project development:
• Monitor and ensure project milestones align with the statutory requirements.
• Draft and review the suite of project-level agreements. This includes navigating the complexities of the project agreements, PPA (including DPPA mechanism), O&M agreements.
• Draft, review and amend contracts and other legal documents, identify risks and propose plans and structures for transaction implementation.
• Proofread and review deliverables (e.g., memoranda, due diligence reports, contracts) for accuracy and consistency.
• Liaise with licensing authorities to clarify requirements and instructions before, during, and after submission.
3. Regulatory review and advocacy:
• Actively monitor shifts in Vietnamese energy policy, specifically focusing on the implementation of PDP8 and developments on electricity pricing brackets, wholesale and retail market and DPPA.
• Conduct formal legal impact assessments on how regulatory changes affect the implementation and bankability of current assets and the strategic viability of the future pipeline.
