Pacifico Energy is a privately held, utility-scale renewable power company specializing in development of solar photovoltaic and wind projects, with offices in Japan, Korea, Vietnam, and the United States.
Pacifico Energy has over 1.5 GW of operational projects and an additional 7 GW in the development pipeline. As leaders of the emerging Pacific market in renewable energy, we are Japan's largest solar developer.
In Vietnam, we commissioned a 40MW solar power plant in Mui Ne (Binh Thuan) and are currently constructing a 30 MW Wind Farm in Binh Dai, Ben Tre.
CAREER OPPORTUNITY:
1. Position title: Legal Manager
The responsibilities outlined below apply to Pacifico Energy and the affiliates and related companies of Pacifico Energy in Vietnam.
2. Job Responsibilities
As a Legal Manager, you will be responsible for providing high-quality legal advice to the companies across multiple practice areas. Your key responsibilities will include:
Legal & Transaction Management
Managing and advising on legal matters relating to energy project development, investments, M&A, corporate governance and commercial transactions.
Drafting, reviewing and negotiating a wide range of commercial contracts, transaction documents and corporate agreements, including NDAs, MOUs, joint venture agreements, share purchase agreements, shareholders' agreements, EPC and O&M contracts, and other project-related agreements.
Supporting investment transactions, including legal due diligence, transaction structuring, risk assessment, and the negotiation and implementation of transaction documents.
Providing legal advice on transaction structures, contractual rights and obligations, risk allocation, and dispute prevention.
Coordinating with internal business teams and external counsel to ensure transactions are completed efficiently and in accordance with applicable laws and regulations.
Corporate Governance & Compliance
Advising on corporate governance, internal policies, delegated authorities, corporate approvals and statutory compliance.
Managing corporate legal matters, including company establishment, restructuring, capital contributions, share transfers, changes to corporate particulars and other corporate secretarial matters.
Ensuring compliance with applicable Vietnamese laws and regulations relevant to the Company's business and investment activities.
Identifying and assessing legal and regulatory risks and recommending practical measures to mitigate such risks.
Maintaining corporate records, statutory filings, legal documents and contract databases.
Business Partnering & Internal Advisory
Providing timely, practical and commercially focused legal advice to management and relevant business teams.
Working closely with investment, project development, finance, procurement and other functions to support business operations and transactions.
Advising on contractual negotiations, commercial arrangements, legal risks and potential disputes.
Managing external legal counsel and coordinating legal support for transactions and corporate matters, as required.
Supporting management in making informed business decisions by identifying key legal implications and proposing appropriate solutions.
Other Responsibilities
Monitoring legal and regulatory developments affecting the Company's energy investments, project development and business operations.
Developing and improving standard contract templates, legal procedures and internal controls to enhance efficiency and consistency.
Performing other legal and corporate responsibilities as assigned by management.
