We are looking for a highly organized and commercially-minded Legal Associate / Coordinator to join our fast-growing IT team.
Our business is diverse, covering: App Products, Digital Advertising, Automated Parking, E-commerce Platforms.
You will be responsible for the day-to-day legal health of the company. You are expected to be the primary reviewer for the majority of our commercial contracts. You will not only manage the legal documentation and administrative flow but also provide direct legal support for our business units. External law firms will be engaged at your discretion for specialized regulatory matters, and you will be responsible for overseeing their deliverables.
1. Independent Contract Review & Drafting (Primary Function)
• Conduct the primary review and revision of the majority of company contracts (e.g., Merchant Agreements, Purchase Orders, NDAs, Vendor Contracts).
• Resolve most routine legal issues independently.
• Adapt existing templates to fit specific business needs in Advertising, Parking, and IT services.
• Ensure all commercial terms (payment, delivery, warranty) are legally sound.
• Identify potential legal gaps in incoming contracts and proactively propose alternative wording to protect the company's interests.
2. Regulatory Compliance & Government Filings
• Independently handle MOIT (Ministry of Industry and Trade) registrations for our apps and notification/registration for online promotion programs.
• Prepare and organize document sets for Advertising licenses and Parking operation permits and other certificates, licenses, applications that support the business.
• Coordinate with relevant authorities to track application status.
• Ensure user agreements and privacy policies (Decree 13) for our digital products are up to date.
3. Information Integration & Resource Management
• Proactively gather technical specifications from IT and commercial logic from BD.
• Ensure the contract reflects the actual operational reality before it is signed.
• Act as the filter for legal inquiries.
• Determine which matters exceed routine scope and prepare clear "Case Briefs" for external law firms to ensure their time (and our budget) is used efficiently.
4. Hands-on Legal Administration (No Assistant)
• Manage the entire physical and digital signing process, including stamping (Seal), scanning, and meticulous archiving of all original documents.
• Maintain a central dashboard to track contract expiries, payment milestones, and regulatory renewal deadlines.
• Assist the Business Head with preliminary research for new business models and other assigned small-scale projects.
• 2 to 5 years of hands-on legal experience in Vietnam.
• Education: Bachelor of Laws (LLB).
• Experience in IT, E-commerce, or Digital Agencies is highly preferred.
• Proven expertise in Commercial Law with hands-on experience advising on complex business models, particularly those involving multi-party settlement flows and complex liability structures.
• Proven ability to review and revise commercial contracts without heavy supervision.
• Operational rigor with a genuine passion for organizing files and tracking deadlines.
• High proficiency in MS Word.
• Fluent in English and Vietnamese (written and spoken) to handle international IT contracts and report to the Business Head.
• Proactive personality.
• Able to drive internal teams and external vendors to meet deadlines.
