PURPOSE AND SCOPE
Supports the Head, Renewable Energy (Vietnam) with a dotted line to the Market Legal, by drawing on his/her knowledge of the law and legal environment, as well as his/her intimate knowledge and understanding of the Market/Company/Group's businesses, governance, policies and strategies in order to give advice in structuring transactions, keep the Market/Company/Group's activities within the law and without transgressing into areas that would damage the Market/ Company/Group's reputation, minimize areas of disputes or conflict with counter-parties.In this context, Market refers to Singapore and Southeast Asia Market.
KEY ROLES AND RESPONSIBILITIES
Working with the business unit or project team to think out of the box for solutions to business matters which are win win for Company and Customers.
Lead and manage major investments and legal risk matters such as mergers & acquisitions, greenfield energy projects and corporate restructuring, as well as for all contracting requirements for day to day business
Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
Understand, implement and monitor compliance with corporate policies and principles of good corporate governance
Liaise with Business Units on governance and compliance issues under the prevailing framework and standing guidelines
Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors etc
Work as an integrated team with Group Commercial, Group Finance, Group Tax, Group Assets Management and Business Units (including other Corporate Services units) in identifying, mitigating and managing risks on activities, businesses and projects of Company/Market/Group.
Support the Market Legal (HQ) in managing and monitoring all material litigation and reporting to the General Counsel and Board Risk Committee
Assist with the management of the Company's trademark portfolio
Review and enhance the Group's corporate policies to minimize legal and regulatory risks
Assess transactions and agreements to identify legal risks in transactions/agreements and provide advice and recommendations to the business unit to enable them to make informed commercial decisions
Supporting the rollout of all Compliance related policies initiated by the Group Ethics & Compliance function, and perform active monitoring of the requirements, and deliverables, including regular reporting.
