Duties & Responsibilities
• Review of NDAs, Memorandum of Understanding, corporate documents and other ancillary documents.
• Advising and assessing legal risk on transactions and agreements and provide advice and recommendations to the business unit to enable them to make informed commercial decisions.
• Work with Vietnam country office and HQ teams in Singapore i.e. Legal, Finance,
Business Development, Procurement and other corporate services units in identifying, mitigating and managing legal and compliance risks on activities, businesses and projects.
• Understand, implement and monitor compliance with corporate policies and principles of good corporate governance.
• Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
• Assistance with execution mechanics, stamping (as required), filings and contract/documents documentation management.
• Supporting the rollout of all policies initiated by the Vietnam country office, Urban Legal, Group Legal and Group Ethics & Compliance function (including assistance with the preparation of, and (if required) conduct of, training to the local Vietnam business unit and its employees), and perform active monitoring of the requirements, and deliverables, including regular reporting.
• Getting regulatory updates for the business unit.
• Assistance with licensing works and assistance with the statutory reporting for the business unit as required.
• Bachelor Degree in Laws (or equivalent) and completed the lawyer training course. A admitted as a lawyer in Vietnam/qualified to practice Vietnamese law would be an advantage.
• Minimum 3 years of relevant legal working experience. Experience working in real estate industry and working with an international multi-national company would be an advantage.
• Native Vietnamese speaker. Excellent communication skills in English (written and spoken)
• Good knowledge of commercial law especially the land law, real estate business laws, the law on enterprises, the law on investment. Knowledge and experience with cross border transactions would be an advantage.
• Proficiency in MS Office (Word, Excel, PPT).
• Strong problem solving, organizational and analytical skills, good at communication
• Possess utmost integrity and honesty, have a flair for legal work
• Ability to exercise creativity in taking on problems which have no precedent or clear options available.
• Willing to travel when required.
