We are seeking an experienced
Head of Legal
to lead the company's legal function, strengthen corporate governance, ensure regulatory compliance, and provide strategic legal advisory to senior management.
Key Responsibilities
1. Legal Governance & Strategic Advisory
Lead and oversee all corporate legal matters and regulatory compliance activities.
Provide strategic legal advice to senior management on business operations, partnerships, and product development.
Identify, assess, and mitigate legal risks across the organization.
Develop and implement legal policies, procedures, and governance frameworks.
2. Contract Management & Legal Documentation
Lead contract drafting, reviewing, negotiating, and standardization.
Manage commercial agreements, partnership contracts, and bilingual legal documentation.
Ensure contractual compliance, enforceability, and appropriate legal risk allocation.
3. Fintech Regulatory Compliance
Develop legal and compliance frameworks aligned with State Bank of Vietnam (SBV) requirements.
Ensure compliance with payment intermediary regulations, KYC/KYB, AML/CFT, data protection, and e-commerce legislation.
Represent the company in regulatory matters, licensing procedures, inspections, and audits.
Monitor regulatory developments and advise on their business implications.
4. Product Legal & Transaction Advisory
Provide legal guidance for payment gateways, e-wallets, cross-border payments, and other financial technology products.
Review transaction structures, fund flows, reconciliation processes, and revenue-sharing arrangements.
Support partnerships with banks, financial institutions, merchants, and technology providers.
5. Dispute Resolution & Legal Risk Management
Manage contractual disputes, customer complaints, regulatory issues, and payment-related incidents.
Develop dispute resolution strategies and coordinate with external legal counsel and relevant authorities.
Collaborate with Risk, Compliance, and Operations teams on fraud, chargebacks, and transaction disputes.
6. Team Leadership & Management
Lead, coach, and develop the Legal team.
Establish departmental KPIs, processes, and performance standards.
Manage legal resources and departmental budgets.
Job Requirements
Education & Experience
Bachelor's degree or higher in Law.
Minimum
5 years of experience in a Legal Manager, Legal Lead, or equivalent managerial position
.
At least
2 years of experience in Fintech, Banking, Payment Intermediaries, or Financial Services
.
Strong knowledge of Vietnamese corporate, commercial, financial services, and payment regulations.
Proven experience in corporate governance, contract negotiation, regulatory compliance, and dispute resolution.
Preferred Qualifications
Experience working directly with the State Bank of Vietnam or other regulatory authorities.
Understanding of digital payment operations, payment transaction flows, AML/CFT, and fraud-related risks.
Experience handling regulatory inspections, licensing matters, or complex legal disputes.
Core Competencies
Strong leadership and stakeholder management capabilities.
Excellent legal research, analytical, negotiation, and problem-solving skills.
Proficiency in English, particularly legal drafting and contract review.
Commercial mindset with the ability to balance regulatory requirements and business objectives.
