Mô tả công việc
Purpose:
• Ensure that the Company's activities are in compliance with applicable laws and regulations, safeguarding the Company's interests.
• Participate in internal control processes to ensure that operations are conducted in accordance with the Company's established procedures and regulations.
Main Duties:
1. Legal Advisory & Support
• Provide legal advice to various functional departments (Sales, Procurement, Factory, Accounting, Human Resources, etc.).
• Deliver consultative legal opinions as requested by the Legal Manager.
• Liaise with external consultants to obtain legal advice and services for the business operation.
2. Contract & Document Management
• Review and revise contracts related to the company's day-to-day operations; ensure thorough verification before contracts are signed (in both English and Vietnamese).
• Draft legal documents related to company formation, project preparation, business registration modifications, M&A, and litigation.
• Draft documents for submission to state agencies, customers, and suppliers.
• Manage legal records, contracts, and files to ensure proper organization, accessibility, and confidentiality.
3. Compliance & Risk Management
• Monitor and update legal regulations and provide legal updates to relevant department.
• Draft and assess dossiers submitted to the BOD and CEO.
• Compile and manage court dossiers for lawsuits, particularly related to overdue debts, labor dispute.
• Prepare a compliance and litigation report as Head Office's request.
4. Other Responsibilities
• Support cross-functional projects (e.g. due diligence, compliance initiatives).
• Participate in legal training and continuous development.
• Perform other duties as required by the Legal Manager.
Yêu cầu
Preferred Qualifications:
• Education: Bachelor's degree or higher in Law
• Language: Advanced proficiency in English (both written and spoken).
• Computer Skills: Proficient in Microsoft Office Suite.
• Knowledge: In-depth understanding of the Vietnamese legal system, particularly in areas related to trade, business, investment, advertising, food safety, taxation, labor law, and M&A.
• Skills:
• Strong problem-solving skills with a quick response time.
• Ability to effectively prevent and control legal risks.
• Strong interpersonal skills for collaboration with various departments.
• Ability to work under pressure and meet tight deadlines.
• Ability to handle urgent legal tasks with efficiency.
