1. Export Contract Management
Draft, review, negotiate, and manage export contracts and related legal documents, including purchase orders (PO), proforma invoices (PI), deployment plans, amendments, MOUs, NDAs, LOIs, notices, letters of credit (L/C), bank guarantees, and other contractual documents.
Support contract negotiations with international customers and suppliers to ensure commercially sound and legally compliant agreements.
Identify legal and commercial risks in cross-border transactions and recommend practical risk mitigation strategies.
Provide legal support throughout the contract lifecycle, including execution, amendment, renewal, termination, and dispute resolution.
Conduct legal research on international trade laws, CISG, Incoterms, and other regulations relevant to the Company's export business.
2. Domestic Contract Management
Draft, review, and negotiate complex, high-value, or high-risk domestic commercial contracts and related legal documents.
Supervise and provide guidance on domestic contract reviews to ensure consistency, legal compliance, and effective risk management.
Develop, maintain, and improve contract templates, standard clauses, and contract management procedures used across the organization.
Collaborate with business functions to ensure contractual terms accurately reflect operational and commercial requirements.
3. Legal Advisory & Corporate Legal Support
Provide legal advice to the Board of Directors and business units on contractual, commercial, and operational matters.
Handle corporate legal matters, including company registration, amendments, restructuring, branch establishment, and other corporate governance activities as assigned.
Coordinate with internal departments, external legal counsel, customers, and business partners to resolve legal issues and support business operations.
Ensure the Company's business activities comply with applicable laws, regulations, and internal policies.
4. Reporting & Continuous Improvement
Prepare periodic reports on legal activities, contract management, and legal risks.
Identify opportunities to improve legal processes, contract management systems, and internal procedures.
Contribute to the development of legal best practices and promote continuous improvement within the Legal function.
Perform other legal and compliance duties as assigned by the Legal Manager, Executive Management, or the Board of Directors.

Education & Experience
Bachelor's degree or above in Law or a related legal discipline.
Minimum 5 years of experience in corporate legal affairs, commercial contracts, or a similar legal position.
Experience in international trade contracts and corporate legal matters is highly preferred.
Knowledge
Strong knowledge of Vietnamese Civil, Commercial, Enterprise, Investment, and Contract Law.
Good understanding of international trade practices, including CISG, Incoterms, and cross-border commercial transactions.
Solid understanding of contract lifecycle management and legal documentation processes.
Skills
Strong contract drafting, reviewing, and negotiation skills.
Excellent legal research, analytical thinking, and problem-solving abilities.
Ability to identify legal risks and provide practical, business-oriented solutions.
Excellent written and verbal communication skills in both Vietnamese and English.
Strong stakeholder management and cross-functional collaboration skills.
Proficient in Microsoft Office applications.
