Position Summary | Mô tả tổng quan
The Senior Corporate Legal Counsel is responsible for providing comprehensive legal support to the company's business operations with a strong focus on corporate governance, foreign-invested enterprises (FDI), investment matters, regulatory compliance, and corporate transactions.
This role acts as a strategic legal partner to management and supports business growth initiatives, investment activities, restructuring projects, and complex legal matters while ensuring full compliance with Vietnamese laws and regulations.
Experience in M&A transactions, investment licensing, corporate restructuring, and business closure procedures is highly preferred.
Key Responsibilities
1. Corporate Legal Affairs | Pháp lý doanh nghiệp
• Provide legal advice on corporate governance, enterprise law, and business operations.
• Draft, review, negotiate, and manage commercial contracts and legal documentation.
• Support Board of Members, Board of Directors, and Shareholders' meetings.
• Advise management on legal risks and mitigation strategies.
• Maintain corporate records and ensure statutory compliance.
• Develop internal legal procedures and governance standards.
2. Corporate Transactions & Investment | Giao dịch doanh nghiệp và đầu tư
• Support legal workstreams for corporate transactions including mergers, acquisitions, divestments, capital transfer, and restructuring activities.
• Conduct legal due diligence and identify transaction risks.
• Review transaction structures and provide legal recommendations.
• Draft and negotiate transaction-related agreements including SPA, SHA, investment agreements, and related legal documents.
• Coordinate with investors, external law firms, auditors, tax consultants, and authorities.
• Support execution and post-transaction implementation.
3. FDI Investment & Licensing | Đầu tư nước ngoài và cấp phép
• Advise on establishment, amendment, expansion, and operation of FDI entities in Vietnam.
• Support investment licensing activities including IRC and ERC procedures.
• Assist with capital increase, ownership changes, project adjustment, and business registration matters.
• Liaise with licensing authorities, industrial zones, and relevant government agencies.
• Monitor compliance with investment and sector-specific regulations.
4. Corporate Restructuring & Special Projects | Tái cấu trúc doanh nghiệp
• Support legal matters related to restructuring, business transfer, spin-off, consolidation, and transformation initiatives.
• Participate in dissolution, liquidation, project closure, and corporate reorganization activities when applicable.
• Coordinate with authorities and stakeholders to ensure legal compliance.
• Support closure procedures involving labor, tax, customs, and contractual obligations.
5. Compliance & Risk Management | Tuân thủ và quản trị rủi ro
• Monitor legal and regulatory updates impacting business operations.
• Develop and improve internal compliance policies and legal processes.
• Conduct legal compliance reviews and support internal audits.
• Manage disputes, legal claims, and external legal service providers.
• Deliver legal guidance and training to business stakeholders.
